1. Definitions
1.1. "Agreement" means these Terms of Service, including all schedules, exhibits, and referenced policies.
1.2. "Platform" means the Tobiz software-as-a-service platform, including the web interface at www.tobiz.network, mobile applications ("App"), APIs, and all associated services.
1.7. "Subscriber" or "you" means the individual or entity that registers for and uses the Platform.
1.8. "Tobiz Network", "we", "us", or "our" means Tobiz Network Sdn Bhd (Reg. No: 201701036845).
2. Account Registration & Security
2.1 Eligibility: The Platform is intended for business use by individuals 18 years of age or older. Those under 18 require parental consent and supervision.
2.3 Account Responsibility: You are solely responsible for all activities under your account and must maintain the confidentiality of your credentials. Notify us immediately at support@tobiz.network of any unauthorized access.
3. Access Grant & Subscription
Tobiz Network grants Subscriber a non-exclusive, non-transferable, worldwide right to access and use the Platform during the Subscription Term for internal business operations.
3.4 Restrictions
- No commercial exploitation or sublicensing.
- No reverse engineering or disassembling of the Platform.
- No use of the Platform to build competitive products.
- No transmission of viruses or unlawful material.
4. Service Commitments
4.1 Service Availability: We aim for an Uptime of 99.5% each calendar month, excluding Scheduled Maintenance.
4.3 Support: Technical support is available via support@tobiz.network during Malaysia business hours (9:00 AM to 5:00 PM MYT, Mon-Fri).
5. Data Rights & Security
5.1 Ownership: Subscriber retains all right, title, and interest in and to all Customer Data. Tobiz Network does not own Customer Data.
5.5 Data Export: Upon termination, Tobiz Network will, upon request made within 30 days, provide an export of Customer Data in a standard format.
6. Fees & Payment
Fees are billed in advance on a monthly or annual basis and are non-refundable. Payments must be made in Malaysian Ringgit (RM). Late payments may incur 1.5% monthly interest.
9. Warranty Disclaimer & Limitation of Liability
The platform is provided "as is" and "as available" with all faults. Tobiz Network disclaims all warranties, express or implied.
Liability Cap: Our aggregate liability shall not exceed the total amount paid by Subscriber in the twelve (12) months preceding the incident.
12. Governing Law & Dispute Resolution
This Agreement is governed by the laws of Malaysia. Disputes unresolved within 60 days shall be settled via arbitration at the Asian International Arbitration Centre (AIAC) in Kuala Lumpur.
